Terms

Terms of Service

The agreement between you and OliveAI when you use the website and web app.

Last updated 31 October 2026

Agreeing to these terms

These terms are an agreement between you and Daniel Joohyung Uhm, a sole trader based in Christchurch, New Zealand and trading as OliveAI ("OliveAI", "we", "us"). They cover your use of our website and web app (the "Service"). By creating an account or using the Service you agree to them. If you do not agree, do not use the Service.

Our Privacy Policy explains how we handle personal information and forms part of these terms. If your university or institution has a separate written agreement with us, that agreement takes priority where it conflicts with these terms.

The Service

OliveAI provides live captions and translation for lectures, and turns lecture transcripts and course material into notes, study guides, quizzes, flashcards and answers. OliveAI is an independent product and is not affiliated with or endorsed by any university.

The Service is currently in private beta. Features may change, be added or be removed, and the Service may sometimes be unavailable. We will try to give you notice of changes that significantly affect you.

Your account

  • You must be at least 16 years old to use the Service.
  • Give us accurate details and keep them up to date. Accounts are personal: do not share your login or let anyone else use your account.
  • You are responsible for activity on your account. Tell us straight away at contact@oliveai.co.nz if you think someone else has accessed it.
  • You can stop using the Service and ask us to delete your account at any time.

Your university and course content

Lectures, slides and other course material usually belong to your university or lecturer, and universities have their own rules about recording lectures, using course material and using their IT systems. You are responsible for following those rules when you use OliveAI. In particular:

  • Only capture or process lectures and material you are entitled to access, and only for your own study (or, if you are a lecturer, for teaching your course).
  • Before you capture or upload a lecture, make sure you have permission to record it. Many universities and lecturers allow recording for personal study, but some require you to ask first or forbid it for particular classes. If you are not sure, ask your lecturer. You are responsible for any course you create in OliveAI and for what you add to it.
  • Recordings and live audio may include other people's voices. Do not use OliveAI to record private conversations or anything you do not have the right to capture.
  • Do not share, sell or publish transcripts, notes or other material generated from someone else's course content without permission.
  • Follow your university's academic integrity rules. OliveAI is a study aid; do not use it to complete assessed work where that is not allowed.

Acceptable use

You must not:

  • use the Service for anything unlawful, harmful or deceptive;
  • upload content that infringes someone else's rights, or that is malicious (such as malware);
  • try to access another user's data, or get around security, usage limits or access controls;
  • scrape, overload or disrupt the Service, or use automated means to access it other than through features we provide;
  • copy, resell or reverse engineer the Service, or use it to build a competing product; or
  • impersonate anyone or misrepresent your connection to a university.

Your content

"Your content" means what you upload, record, type or connect to the Service, and the transcripts, notes and other output we generate for you from it. As between you and us, you keep whatever rights you have in your content. We do not claim ownership of it.

You give us permission to store, copy, process and transmit your content, including through the service providers listed in our Privacy Policy, only as needed to provide, secure and support the Service for you. We do not use your content to train our own AI models, and we do not make it available to other users unless you or your institution choose to share it. Our Privacy Policy sets out what each provider may do with the data it processes.

You confirm you have the rights and permissions needed for us to process your content in this way.

AI-generated output

Captions, translations, notes, summaries, quizzes, flashcards and answers are generated automatically by speech recognition and AI models. They can be incomplete, mistranslated or wrong, even when they cite a source. Check anything important against the original lecture or material, especially before an exam or assessment. OliveAI is not a substitute for attending class, your lecturer's instructions, or official course information such as deadlines and exam details.

Beta, trials and payments

Access during the private beta and any free trial is provided free of charge. We will not charge you without first telling you the price and getting your agreement.

If you take up a paid plan, the price, billing period and any one-off fees will be shown before you pay, in New Zealand dollars. Unless stated otherwise, paid plans renew automatically until you cancel, and you can cancel at any time to stop future charges. Fees already paid are not refundable except where required by law or where we say otherwise. If we change a price, we will tell you in advance and the change will apply from your next billing period.

Our intellectual property

The Service itself, including its software, design, branding and our own content, belongs to OliveAI or our licensors. We give you a personal, non-transferable right to use it in line with these terms. If you send us feedback or suggestions, we may use them freely without owing you anything.

Third-party services

The Service works with third-party services, including the providers listed in our Privacy Policy. We do not control those services and are not responsible for their availability or for changes they make that stop OliveAI from working with them.

Suspension and termination

You can stop using OliveAI at any time. We may suspend or close your account if you seriously or repeatedly breach these terms, if your use puts other users, the Service or us at risk, or if we are required to by law. Where reasonable, we will warn you first and give you a chance to fix the problem. If we stop offering the Service altogether, we will give you reasonable notice and a chance to download your content where we can, and refund any fees paid for a period you can no longer use.

Your consumer rights

Nothing in these terms limits rights you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986 or any other law that cannot be excluded. If you use the Service for the purposes of a business (for example, on behalf of a university), you agree that the Consumer Guarantees Act does not apply, to the extent permitted by law.

Disclaimers and liability

Subject to your consumer rights above, the Service is provided as it is and as available, and we do not promise that it will be uninterrupted, error-free, or that its output will be accurate or complete.

To the extent permitted by law, we are not liable for indirect or consequential loss, loss of data, or loss resulting from relying on AI-generated output (including academic results), and our total liability to you for all claims relating to the Service is limited to the greater of NZ$100 and the amount you paid us in the six months before the claim arose. These limits do not apply to liability that cannot be limited by law, or to loss caused by our fraud or wilful misconduct.

If you use the Service in breach of these terms or someone else's rights (for example, by processing course material you were not permitted to use), you are responsible for the resulting claims and costs.

General

  • Changes to these terms: we may update these terms. We will change the date at the top, and for significant changes we will tell you by email or in the app before they take effect. If you keep using the Service after that, the new terms apply. If you do not agree, you can stop using the Service and close your account.
  • Governing law: these terms are governed by New Zealand law, and the courts of New Zealand have jurisdiction over any dispute. Before going to court, please contact us so we can try to sort it out together.
  • Notices: we may contact you by email at the address on your account or through the app.
  • Transfer: you cannot transfer your account or these terms. We may transfer them to a successor business, which will be bound by them.
  • Severability and waiver: if part of these terms is unenforceable, the rest still applies. Not enforcing a term straight away does not mean we give up the right to.
  • Entire agreement: these terms, the Privacy Policy and any separate written agreement with your institution are the whole agreement about the Service.
